These Terms of Service ("Terms") govern your access to and use of ExpertStackHub at expertstackhub.ai, operated by Steeled Inc. ("Company," "we," "us," or "our"). By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Platform Description

ExpertStackHub is an intelligence-driven marketplace that connects businesses with expert professionals including consultants, advisors, fractional executives, and specialists. The platform provides:

• Expert discovery, profiles, and contact facilitation
• AI-assisted expert matching based on described business needs
• Free intelligence tools including rate benchmarks, RFP generators, proposal builders, contract templates, scope estimators, and interview question generators
• Research, insights, and market intelligence content
• Optional premium listing and visibility features for experts

ExpertStackHub is a platform intermediary. We facilitate connections between parties but are not a party to any engagement, contract, or transaction between a business and an expert. We do not employ experts listed on the platform.

2. Eligibility and Account Registration

You must be at least 18 years old and able to enter into binding contracts to use ExpertStackHub. By using the platform, you represent that you meet these requirements.

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are associated with fraudulent activity.

3. Expert Listings and Verification

Application and Review Process

Experts must apply to join the ExpertStackHub network. All applications are subject to review. We conduct a credential verification process before approving expert profiles for public listing. This process may include:

• Verification of claimed licenses, certifications, and credentials
• Review of professional history and stated qualifications
• Background screening where applicable
• Assessment of profile completeness and accuracy

Verification is a one-time process at the time of onboarding. We do not continuously re-verify credentials after initial approval. Businesses remain responsible for their own due diligence before engaging any expert, regardless of verified status.

Expert Accuracy Obligations

By applying to and listing on ExpertStackHub, experts represent and warrant that:

• All credentials, certifications, licenses, and qualifications listed are accurate and currently valid
• Rates and availability information is reasonably current
• No material information has been omitted that would affect a business's decision to engage them
• They have the legal right to provide the services described

Experts must notify us promptly of any change that affects the accuracy of their profile. We reserve the right to remove or suspend listings that contain false or misleading information, without notice and without refund of any fees paid.

No Guarantee of Credentials

Verification by ExpertStackHub does not constitute a guarantee, endorsement, or warranty of any expert's qualifications, competence, fitness for a particular purpose, or suitability for any specific engagement. We do not fabricate, inflate, or misrepresent any expert's credentials, reviews, success metrics, or client outcomes. All data presented reflects verified or self-reported information as labeled.

4. Marketplace Transactions

Nature of the Marketplace

ExpertStackHub facilitates introductions between businesses and experts. We are not a party to any engagement, consulting agreement, project, or transaction between a business and an expert. Any agreement reached through the platform is solely between the parties involved.

Business Responsibilities

Businesses using ExpertStackHub to find and engage experts agree to:

• Conduct their own due diligence on any expert before engagement
• Negotiate and execute their own engagement agreements directly with experts
• Honor commitments made to experts through the platform
• Not use expert contact information obtained through the platform for purposes unrelated to legitimate business engagement
• Comply with all applicable employment, contractor, and tax laws when engaging experts

Expert Responsibilities

Experts agree to:

• Honor commitments to businesses who reach out based on their listed profile
• Respond promptly to legitimate inquiries from businesses
• Accurately represent their availability, rates, and scope of services
• Not solicit or engage platform users for services not listed on their profile without disclosure

Dispute Resolution Between Parties

ExpertStackHub is not an arbitrator of disputes between businesses and experts. All payment, performance, and contract disputes are governed by the direct agreement between the parties. We encourage users to resolve disputes privately and may, at our sole discretion, mediate certain disputes where platform conduct is at issue.

5. AI-Assisted Tools and Matching

ExpertStackHub uses artificial intelligence and machine learning to power matching recommendations, document generation, and market intelligence tools. By using these features, you acknowledge and agree to the following:

• AI expert matching results are informational suggestions, not guarantees of expert availability, quality, or suitability
• AI-generated documents (contracts, proposals, SOWs, RFPs) are starting-point templates, not legal instruments. They should be reviewed by qualified advisors before use
• Rate benchmarks may blend verified data with AI-modeled estimates, clearly labeled as described in our AI Disclaimer
• Projected outcomes and engagement estimates are estimates only, not guaranteed results
• AI matching is not a certified professional recommendation from any licensed advisor

6. User Responsibilities

You agree not to use ExpertStackHub to:

• Post false, misleading, or fraudulent information
• Impersonate any person or entity
• Violate any applicable local, state, national, or international law or regulation
• Scrape, harvest, or systematically extract data from the platform without prior written consent
• Use the platform to spam, solicit, or conduct unsolicited commercial communications
• Interfere with or disrupt the integrity or performance of the platform
• Attempt to gain unauthorized access to any part of the platform or its systems
• Use the platform to compete with ExpertStackHub or develop a competing service
• Circumvent any measures we use to restrict access to the platform

We reserve the right to investigate violations and take appropriate action, including account suspension, legal action, or referral to law enforcement.

7. User Content

By submitting content to ExpertStackHub — including expert profiles, articles, reviews, comments, or project descriptions — you grant Steeled Inc. a non-exclusive, worldwide, royalty-free license to store, display, distribute, and use that content in connection with operating, improving, and promoting the platform.

You represent that you own or have the rights to any content you submit, and that your content does not infringe any third party's intellectual property, privacy, or other rights.

We reserve the right to remove any content that violates these Terms or that we determine is harmful, misleading, or inappropriate, at our sole discretion.

8. Intellectual Property

The ExpertStackHub platform, including its design, branding, software, content, data, and AI models, is owned by Steeled Inc. and protected by applicable intellectual property laws. You may not:

• Copy, reproduce, or redistribute any part of the platform without written permission
• Reverse engineer, decompile, or attempt to extract source code
• Use our trademarks, logos, or branding without written consent
• Frame or mirror any part of the platform without prior written consent

Nothing in these Terms grants you any intellectual property rights in the platform beyond the limited right to use it as described herein.

9. Premium Expert Listings

We offer optional premium listing features for experts, which may include enhanced profile visibility, priority placement, and featured status. Premium listings are subject to the following terms:

• Premium features are subject to separate fee schedules disclosed at the time of purchase
• Fees are charged as described in our Refund Policy
• Premium listing placement is provided on a best-effort basis. We do not guarantee specific placement, impressions, or engagement outcomes
• Projected engagement outcomes associated with premium plans are estimates only, based on platform averages. Actual results will vary
• Premium listing status does not waive the requirement for profile accuracy or credential compliance
• We may modify or discontinue premium features with reasonable notice

10. Disclaimers

ExpertStackHub is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

We do not warrant that:

• The platform will be uninterrupted, error-free, or free from viruses or other harmful components
• Expert profiles are complete, accurate, or current beyond the information provided and verified at onboarding
• Any engagement facilitated through the platform will meet your expectations or produce specific outcomes
• AI-generated tools, documents, or matching results are suitable for your specific situation

Your use of the platform and any expert you engage through it is entirely at your own risk.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Steeled Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your use of the platform, including but not limited to:

• Loss of revenue, profits, data, or business opportunities
• Damages resulting from engagements between businesses and experts facilitated through the platform
• Damages arising from reliance on AI-generated content, matching results, or benchmarks
• Unauthorized access to your account or data

Our total liability for any claim arising under these Terms shall not exceed the fees, if any, you paid to us in the 12 months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Steeled Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any engagement or dispute between you and another platform user.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the platform shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), conducted on an individual basis. You waive the right to participate in a class action or class-wide arbitration.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. If any provision of this section is found unenforceable, the remaining dispute resolution provisions shall remain in effect.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and provide notice to registered users where required by law. Continued use of the platform after the effective date of changes constitutes acceptance of the updated Terms.
